Schedule B (the Jurisdiction Schedule) lists the countries where the Platform is available and, for each one, the contracting entity, governing law, dispute bodies, and regulatory references that apply. Every other provision of these Terms applies in the same way to every User.
2. INTRODUCTION
2.1 The Circuit is a skill-based trading competition platform (the "Platform") that enables registered users to participate in structured trading competitions using simulated trading accounts connected to live market data feeds. Entry fees are charged for competition registration. Prize pools are awarded to eligible winners on the basis of objective ranking criteria and compliance with published competition rules.

4.2 Acceptance of these Terms constitutes a legally binding contract between the User and the Company. If a User does not agree to these Terms in their entirety, they must not create an Account, pay any Entry Fee, or use the Platform.
4.3 Where a User accesses the Platform on behalf of an organisation or legal entity, they represent and warrant that they have authority to bind that organisation to these Terms.
4.4 These Terms are accepted electronically. 4.5 The Company may require Users to re-confirm acceptance of these Terms following any material amendment made in accordance with Section 37.
5. ELIGIBILITY
5.1 To register an Account and participate in Competitions, a User must at all times:
- (a) be a natural person aged 18 years or older, or the age of majority in their jurisdiction of residence if higher;
- (b) have full legal capacity to enter into binding contracts under Applicable Law;
- (c) not be a resident or national of a Restricted Jurisdiction;
- (d) not be subject to international sanctions administered by the United Nations Security Council, the Office of Foreign Assets Control of the United States Department of the Treasury (OFAC), the Office of Financial Sanctions Implementation of His Majesty's Treasury (OFSI), the sanctions authorities listed in Schedule B, or any equivalent sanctions authority;

- (f) have successfully completed the Company's KYC verification process in accordance with Section 12;
- (g) maintain a valid payment method accepted by the Platform; and
- (h) not be prohibited from participating in skill-based competitions under the laws of their jurisdiction of residence.
5.2 The Company reserves the right to require additional verification of eligibility at any time. A User who provides false eligibility information forfeits all Entry Fees paid and any Prizes awarded.
5.3 The Company may, at its absolute discretion, decline to register or maintain an Account without being required to provide reasons, subject only to obligations imposed by Applicable Law.
5.4 Employees, officers, directors, contractors, and immediate family members of the Company and its affiliates are not eligible to participate in Competitions in which they have access to non-public information relevant to competition mechanics, scoring, or outcomes.
6. GEOGRAPHIC RESTRICTIONS
6.1 The Platform is available only to residents of the Authorised Jurisdictions listed in Part 1 of Schedule B. It is not available to residents or nationals of the Restricted Jurisdictions listed in Schedule A.
6.2 The Company implements IP-based geo-blocking to restrict access from Restricted Jurisdictions. A User who circumvents these controls through the use of a virtual private network (VPN), proxy server, Tor network, or any other technology designed to obscure their true location breaches these Terms and is subject to immediate Account suspension and forfeiture of all Entry Fees and Prizes.
6.3 The listing of a jurisdiction as an Authorised Jurisdiction reflects the Company's assessment at the date of listing. Users remain responsible for ensuring that their participation in Competitions complies with Applicable Law in their jurisdiction of residence.
6.4 The Company may, without notice, restrict access from additional jurisdictions where required by Applicable Law or in response to regulatory guidance.
6.5 The Company may add or remove Authorised Jurisdictions by updating Schedule B on the Platform. Removing a jurisdiction does not affect Entry Fees already paid; affected entries are completed or refunded in accordance with Section 22.
7. NATURE OF THE PLATFORM
7.1 The Platform provides a structured competitive environment in which Participants demonstrate trading skill using Simulated Accounts. The Platform is a competition and technology service provider. It is not, and does not hold itself out as:
- (a) a bank, building society, credit union, or other deposit-taking institution;
- (b) an investment firm, securities dealer, or registered broker-dealer;
- (c) an investment manager, portfolio manager, or investment adviser;
- (d) a payment institution or e-money institution in the regulatory sense (save where required to register in a specific jurisdiction in connection with its payment activities);
- (e) a proprietary trading firm;
- (f) a gambling operator, lottery operator, or betting exchange; or
- (g) a financial institution regulated under any financial services legislation in any jurisdiction.
7.2 The Simulated Accounts provided through the Platform are virtual instruments created solely for competition purposes. They do not represent real money accounts, brokerage accounts, or investment accounts. No Participant funds are placed in any Simulated Account or connected to any live financial market.
7.3 Market data and price feeds used within Simulated Accounts are provided for competition purposes only. They do not constitute financial advice, investment recommendations, or market signals of any kind.
7.4 The Company does not owe fiduciary duties of any kind to Users in connection with their use of the Platform.
8. SKILL-BASED COMPETITION STATEMENT
8.1 The Platform operates exclusively as a skill-based competition platform. The outcome of each Competition is determined by the objective application of Ranking Criteria to Participants' demonstrated trading performance over the Competition Window. Outcomes are not determined by chance, random selection, or any element of luck.
8.2 The skill elements that determine competitive outcomes include, without limitation:
- (a) trade selection and execution decisions made independently by each Participant;
- (b) risk management, including position sizing and drawdown management;
- (c) strategy consistency and application across the Competition Window;
- (d) timing of market entry and exit decisions; and
- (e) compliance with Competition Rules governing permitted trading activity.
8.3 The Company's position that the Platform operates as a skill-based competition is grounded in the following structural characteristics:
- (a) Fixed, pre-announced rules. Competition Rules, including the Rule Card, are published before registration opens and are locked when registration opens. No rule may be modified after a Participant pays an Entry Fee, except as permitted by Section 17.3.
- (b) Objective ranking criteria. Winners are determined solely by reference to verifiable, objective performance metrics.
- (c) Published Prize Pool. The Prize Pool, or the method for calculating it, is published before entry, subject only to Sections 19.3 and 22.
- (d) No house edge. The Company does not take a position against Participants and has no financial interest in any particular competitive outcome.
- (e) Simulated environment. All trading occurs within Simulated Accounts. No Participant funds are placed at risk in financial markets.
8.4 The Platform's skill-based competition model is structurally equivalent to esports competitions, fantasy sports leagues, and similar competitive formats recognised as skill-based contests in multiple jurisdictions. Users should satisfy themselves that participation is lawful in their jurisdiction of residence.
9. NO INVESTMENT RELATIONSHIP
9.1 Participation in the Platform does not create an investment relationship of any kind between a User and the Company.
9.2 Entry Fees are not deposits, investments, or capital contributions. They constitute payment for the right to participate in a Competition only.
9.3 The Company does not provide investment advice, financial advice, trading recommendations, or market analysis to Users in connection with the Platform. Market data and pricing information displayed within Simulated Accounts are provided for competition purposes only.
9.4 Past performance on the Platform is not indicative of performance in live financial markets. Competition results should not be construed as evidence of investment skill or suitability for live market participation.
9.5 The Company does not represent that skills demonstrated on the Platform will translate to profitability in live financial markets. Users acknowledge that simulated trading conditions differ materially from live market conditions.
9.6 The Company is not authorised or regulated as an investment firm or financial adviser in any jurisdiction. Users requiring investment advice should consult a duly authorised and regulated financial adviser.
10. NO GAMBLING OR WAGERING RELATIONSHIP
10.1 The Platform does not constitute gambling, wagering, or betting activity under these Terms or under the laws of any Authorised Jurisdiction in which it operates.
10.2 The following characteristics distinguish the Platform from gambling or wagering products:
- (a) Skill predominance. Competitive outcomes are determined by the relative skill of Participants, not by chance or random events exogenous to the Participants' own decisions.
- (b) No random outcome mechanism. The Platform does not use random number generators, wheel mechanics, card draw mechanics, or any other chance-based outcome mechanism.
- (c) Transparent, fixed rules. All rules governing competition outcomes are published in advance and cannot be altered once competition registration opens.
- (d) No Participant-versus-house wagering. The Company does not wager against Participants. Prize Pools are funded from Entry Fees and Company reserves, not from a wagering margin.
- (e) No real-money exposure. Participants do not use borrowed money and cannot lose more than the Entry Fee paid. Any leverage within a Simulated Account is virtual and exists only to test risk management under the Rule Card.
10.3 The Company does not hold, and does not represent that it holds, any gambling licence, betting licence, or gaming licence in any jurisdiction. Users who believe that their participation may constitute gambling under the laws of their jurisdiction of residence must seek independent legal advice before participating.
11. USER ACCOUNTS
11.1 Account Registration. To participate in Competitions, a User must create an Account by providing accurate, complete, and current information as required by the registration process. The Company reserves the right to reject any Account registration without providing reasons.
11.2 One Account Per Person. Each natural person is permitted to hold one Account. The creation of multiple Accounts by the same individual ("Multi-Accounting") is strictly prohibited and constitutes Prohibited Conduct under Section 26. Where the Company identifies Multi-Accounting, it will terminate all associated Accounts and permanently forfeit all Entry Fees paid and Prizes awarded across those Accounts.
11.3 Account Security. The User is solely responsible for maintaining the security and confidentiality of their Account credentials. The User must notify the Company immediately upon becoming aware of any unauthorised access to their Account. The Company is not liable for losses arising from the User's failure to maintain Account security.
11.4 Account Information Accuracy. The User must keep all Account information accurate and current. The Company may suspend Account access or withhold Prize distributions pending resolution of any discrepancy between Account information and KYC verification data.
11.5 Non-Transferability. Accounts are personal to the registered User and may not be transferred, sold, or assigned to any third party. The sharing of Account credentials with any third party is prohibited.
11.6 Inactive Accounts. The Company may close Accounts that have been inactive for a continuous period of twenty-four (24) months, following not less than thirty (30) days' written notice to the registered email address. Any credit balance held by the Company on behalf of an inactive Account will be returned to the User via their registered payment method prior to closure.
12. IDENTITY VERIFICATION (KYC)
12.1 Mandatory Verification. All Users must complete identity verification before paying Entry Fees, participating in Competitions, or requesting Prize distributions. The Company will not process Entry Fee payments or Prize distributions in respect of unverified Accounts.
12.2 Verification Requirements. Identity verification requires submission of:
- (a) government-issued photographic identification (passport, national identity card, or driver's licence);
- (b) proof of residential address dated within ninety (90) days (utility bill, bank statement, or equivalent);
- (c) a selfie or live video image for biometric matching purposes; and
- (d) such additional documentation as the Company may reasonably request in connection with its AML obligations or its payment processor's underwriting requirements.
12.3 Third-Party Verification. Identity verification is conducted by one or more authorised third-party verification providers. The User consents to the transmission of their personal data to such providers for verification purposes, as further described in the Privacy Policy.
12.4 Enhanced Due Diligence. The Company may conduct enhanced due diligence, including source-of-funds assessment, in respect of any User who: (a) is identified as a PEP or associate of a PEP; (b) requests Prize distributions above a specified threshold; (c) generates a pattern of activity that triggers the Company's risk monitoring systems; or (d) is resident in a jurisdiction designated as higher risk by the Financial Action Task Force (FATF).
12.5 Verification Failure. Where a User's identity cannot be verified to the Company's satisfaction, the Company may decline to open or maintain an Account, refuse Entry Fee processing, or suspend Prize distributions, without incurring liability to the User.
12.6 Periodic Re-Verification. The Company may require Users to re-verify their identity periodically or following any change in their circumstances. A User who fails to complete re-verification within the timeframe specified by the Company may have their Account suspended pending completion.
13. AML COMPLIANCE
13.1 AML Programme. The Company maintains an AML and counter-terrorist financing (CTF) compliance programme in accordance with Applicable Law, including the laws listed in Schedule B for the Contracting Entity.
13.2 Screening Obligations. The Company screens all Users against applicable sanctions lists, including those maintained by the United Nations, OFAC, OFSI, and the authorities listed in Schedule B. Users on a sanctions list will not be permitted to register an Account or receive any Prize distribution.
13.3 Suspicious Transaction Reporting. The Company is legally required to report suspicious transactions to the financial intelligence unit listed in Schedule B for the Contracting Entity, and to any other authority where Applicable Law requires. By accepting these Terms, Users acknowledge and consent to such reporting where legally required, notwithstanding any confidentiality obligation.
13.4 Source of Funds. The Company may require Users to provide evidence of the source of funds used to pay Entry Fees. Where a User refuses to provide such evidence, or provides information that the Company reasonably considers to be false or misleading, the Company may terminate the Account and report the matter to the relevant financial intelligence unit where Applicable Law requires.
13.5 No Tipping Off. The Company is prohibited by law from disclosing to a User that a suspicious activity report has been, or may be, filed in relation to that User's Account. Nothing in these Terms shall be construed to require the Company to make any such disclosure.
13.6 Cooperation. Users agree to cooperate fully and promptly with any request made by the Company in connection with its AML, CTF, or sanctions compliance obligations.
14. COMPETITION REGISTRATION
14.1 Competition registration is effected by payment of the applicable Entry Fee prior to the close of the registration window specified in the Competition listing.
14.2 A Participant's registration is accepted upon receipt of cleared funds. The Company does not guarantee acceptance of registration and may decline registration in its absolute discretion without being required to provide reasons.
14.3 Each Competition listing specifies, prior to the opening of registration:
- (a) the applicable Competition tier (Blitz Circuit, Competitive Circuit, or Championship Circuit);
- (b) the Entry Fee;
- (c) the Competition Window duration;
- (d) the Minimum Participation Threshold;
- (e) the Prize Pool;
- (f) the Ranking Criteria; and
- (g) the geographic eligibility restrictions applicable to that Competition, if any.
14.4 Where a Competition format permits multiple registrations by the same Participant, each registration constitutes a separate Entry Fee payment and produces a separate Simulated Account. Only the Participant's best-performing Simulated Account result will be considered for ranking purposes within that Competition.
14.5 Competition listings constitute an invitation to treat and not an offer capable of acceptance. A binding contract between the Participant and the Company in respect of a Competition is formed upon the Company's acceptance of cleared Entry Fee funds.
15. ENTRY FEES
15.1 Entry Fees are charged for participation in each Competition. The applicable Entry Fee for each Competition is specified in the Competition listing.
15.2 Entry Fees are denominated in United States Dollars. Where payment is made in a currency other than United States Dollars, conversion is applied at the exchange rate prevailing at the time of payment as determined by the Company's payment processor. The Company is not responsible for exchange rate fluctuations.
15.3 All Entry Fees are inclusive of any applicable transaction costs unless otherwise specified in the Competition listing. Users are responsible for any bank charges, currency conversion fees, or other charges imposed by their payment provider.
15.4 Entry Fees are non-refundable except as set out in Section 22 and the Refund and Cancellation Policy. Payment of an Entry Fee does not guarantee any particular competition outcome or Prize.
15.5 Entry Fee revenue funds the Prize Pool for each Competition, and the balance is retained by the Company as platform revenue to fund operations, technology infrastructure, and other business costs. The Prize Pool, or the method for calculating it, is disclosed in the Competition listing before registration opens.
15.6 The Company reserves the right to modify Entry Fee amounts for future Competitions. Modifications do not affect registrations already accepted.
16. COMPETITION PARTICIPATION
16.1 Upon acceptance of registration, the Company will provision a Simulated Account for each registered Participant. The Simulated Account will be credited with virtual capital as specified in the Competition Rules and configured with parameters applicable to the relevant Competition tier.
16.2 Participants may commence trading within their Simulated Account from the Competition start date and time specified in the Competition listing. Trading activity occurring outside the Competition Window will not be considered for ranking purposes.
16.3 Participants are solely responsible for all trading decisions made within their Simulated Accounts. The Company does not provide trading advice or recommendations in connection with any Competition.
16.4 Participants must comply with all applicable Competition Rules, including the limits on the Rule Card for permitted asset classes, position size, leverage, daily loss, total loss, and minimum trading activity.
16.5 The Company reserves the right to disqualify a Participant and void their competition results where the Participant's trading activity is determined to breach these Terms, the Competition Rules, or the Prohibited Conduct provisions in Section 26.
16.6 Platform Availability During Competitions. The Company endeavours to maintain Platform availability throughout the Competition Window but does not guarantee uninterrupted access. In the event of a material Platform outage during a Competition Window, the Company may, in its sole discretion: (a) extend the Competition Window by an equivalent period; (b) discount the affected period from the Ranking Criteria assessment; or (c) cancel the Competition and issue refunds in accordance with Section 22. The Company's decision in this regard is final.
16.7 Market Data Interruptions. Where market data feeds connected to Simulated Accounts are interrupted, delayed, or materially inaccurate during a Competition Window, the Company reserves the right to adjust affected Leaderboard positions, extend the Competition Window, or cancel the Competition in accordance with Section 22. The Company is not liable for losses arising from third-party market data interruptions.
17. COMPETITION RULES
17.1 Each Competition is governed by Competition Rules published on the Platform prior to the opening of registration for that Competition. Competition Rules form part of these Terms by reference and are binding on all Participants.
17.2 Competition Rules specify, as a minimum:
- (a) permitted asset classes and instruments available within the Simulated Account;
- (b) initial virtual capital allocation;
- (c) leverage parameters and margin requirements;
- (d) daily loss limits and maximum drawdown thresholds;
- (e) minimum trading activity requirements necessary to qualify for ranking consideration;
- (f) prohibited trading strategies or techniques;
- (g) Ranking Criteria and the methodology for calculating rankings;
- (h) the Competition Window start and end dates and times;
- (i) the number of Prizes and Prize allocation percentages; and
- (j) any Competition-specific eligibility requirements.
17.3 Rule Immutability. Competition Rules, including the Rule Card, are locked when registration opens. The Company will not change them for that Competition after registration opens, except where required by Applicable Law or where a Force Majeure Event makes continuation on existing terms impracticable. Participants will be notified of any such change and may withdraw for a full refund.
17.4 Rule Interpretation. Where a dispute arises concerning the interpretation of a Competition Rule, the Company's interpretation is final, subject to any formal dispute resolution process initiated under Section 39.
17.5 Calculation Errors. Where the Company identifies a material error in the calculation of rankings or Prize Pool distributions, it reserves the right to correct such errors and re-issue affected Leaderboard results or Prize distributions within a reasonable period. Users will be notified of any material correction.
18. RANKINGS
18.1 Rankings are determined by applying the Ranking Criteria specified in the Competition Rules to each Participant's Simulated Account performance over the Competition Window.
18.2 The Company publishes a live or periodically updated Leaderboard during the Competition Window. Leaderboard positions displayed during the Competition Window are provisional and subject to adjustment following the Verification Period.
18.3 A Participant who meets all minimum activity requirements and does not breach any Competition Rule is eligible for ranking consideration. A Participant who fails minimum activity requirements or is disqualified for any reason will be removed from the Leaderboard.
18.4 In the event of a tied ranking following application of primary Ranking Criteria, ties are resolved by applying secondary Ranking Criteria as specified in the Competition Rules. Where ties remain following application of all specified criteria, the Company may apply additional objective criteria or, where no objective criterion can resolve the tie, may distribute the combined Prize for those positions equally among tied Participants.
18.5 The Company reserves the right to make corrections to Leaderboard data where errors have occurred due to technical malfunction, data feed interruption, calculation error, or the detection of Prohibited Conduct. Leaderboard corrections will be made in a transparent manner with notification to affected Participants.
19. PRIZE POOLS
19.1 The Prize Pool for each Competition, or the method for calculating it, is published in the Competition listing before entry. Where the listing states a minimum Prize Pool, the Company funds that minimum regardless of final Participant volume, subject only to Sections 19.3 and 22.
19.2 Unless the Competition listing states a different allocation, the Prize Pool is allocated between Winners as follows:
- (a) First Place: sixty per cent (60%) of the Prize Pool;
- (b) Second Place: twenty-five per cent (25%) of the Prize Pool; and
- (c) Third Place: fifteen per cent (15%) of the Prize Pool.
19.3 Minimum Participation Threshold. Where the number of valid entries for a Competition falls below the Minimum Participation Threshold: (a) for Scheduled Competitions (Competitive Circuit and Championship Circuit), the Competition is cancelled at the close of registration and Entry Fees are refunded in full in accordance with Section 22.3; and (b) for Circuit Runs (Blitz Circuit), the Company funds any shortfall up to the minimum Prize Pool stated in the Competition listing. Where the Company cannot do so, the Circuit Run is cancelled and Entry Fees are refunded in full in accordance with Section 22.3.
19.4 Prizes are denominated in United States Dollars. Where a Winner requests payment in a currency other than United States Dollars, conversion is applied at the prevailing rate at the time of payment processing. The Company does not guarantee any minimum payout in non-USD currencies.
19.5 The Prize Pool does not represent an investment or financial return. It represents an award for demonstrated skill in a structured competition.
20. WINNER VERIFICATION
20.1 Following the conclusion of a Competition, the Company conducts a Verification Period during which it reviews Leaderboard rankings and verifies Winner eligibility. The Company targets completion of the Verification Period within forty-eight (48) hours of Competition conclusion, subject to the complexity of any investigations required.
20.2 During the Verification Period, the Company reviews:
- (a) whether Winners have completed and passed KYC verification;
- (b) whether Winners' trading activity complied with Competition Rules;
- (c) whether any flags of Prohibited Conduct have been raised in connection with a Winner's Account or competition participation;
- (d) the integrity of Leaderboard rankings, including review for signs of collusion, coordinated trading, use of automated systems, or API exploitation;
- (e) whether Winners are subject to sanctions screening matches; and
- (f) any technical anomalies in market data or platform performance that may have materially affected rankings.
20.3 The Company may extend the Verification Period where an investigation requires additional time. The Verification Period may be extended by up to a further seven (7) Business Days without liability. In cases involving suspected fraud or serious Prohibited Conduct, the Company may suspend Prize distribution indefinitely pending conclusion of the investigation.
20.4 Where the Company determines during the Verification Period that a provisional Winner is ineligible for a Prize, or that their results must be voided for any reason, the Prize is reallocated to the next eligible ranked Participant. The Company's determination following the Verification Period is final, subject only to the dispute resolution provisions in Section 39.
20.5 The Company reserves the right to require Winners to submit additional documentation, including source of funds evidence, prior to Prize distribution.
21. PRIZE DISTRIBUTION
21.1 Following successful completion of the Verification Period, the Company will distribute Prizes to eligible Winners within forty-eight (48) hours of the completion of verification, subject to the Winner having provided all required payment details and passed all applicable checks.
21.2 Prizes are distributed via the payment methods supported by the Platform at the time of distribution, which may include bank transfer, digital payment service, or such other method as the Company designates. Users are responsible for ensuring that their payment details are accurate and current. The Company is not liable for Prize payments made in accordance with the details provided by the Winner.
21.3 The Company may withhold Prize distribution where:
- (a) the Winner has not completed KYC verification;
- (b) the Winner's Account is under investigation or suspension;
- (c) the Winner is identified as being subject to sanctions;
- (d) the Winner's payment details are incomplete, inaccurate, or cannot be verified;
- (e) the Winner has an outstanding chargeback or payment dispute;
- (f) the Winner has failed to provide additional information reasonably requested by the Company; or
- (g) distribution is restricted by Applicable Law or by the Company's payment processor.
21.4 Tax Obligations. Winners are solely responsible for any income tax, withholding tax, or other fiscal obligation arising from their receipt of a Prize in their jurisdiction of residence. The Company will withhold and remit taxes in connection with Prize payments only where required by Applicable Law, including any requirement noted in Schedule B. The Company does not provide tax advice.
21.5 Prizes that remain unclaimed by a Winner for a period of one hundred and eighty (180) days following the Company's first notification of Prize eligibility will be forfeited. The Company will make reasonable efforts to contact Winners during this period using registered contact details.
22. REFUNDS
22.1 General. Entry Fees are refunded in accordance with this Section 22 and the Refund and Cancellation Policy published on the Platform. If the two conflict on a refund, the Refund and Cancellation Policy applies. Once a Participant's Competition Window has started, the Entry Fee is non-refundable except as set out in Section 22.3.
22.2 Withdrawal Before Start. A Participant in a Scheduled Competition may cancel their entry for a full refund by emailing the Company before registration closes. A Circuit Run window starts as soon as the entry is confirmed, so this Section 22.2 does not apply to Circuit Runs.
22.3 Full Refunds. The Company refunds the full Entry Fee, with no administration fee, where: (a) the Company cancels a Competition, including a Scheduled Competition that does not reach its Minimum Participation Threshold, in which case the refund is automatic; (b) a charge goes wrong, including a charge with no entry created, a duplicate charge, or a charge the User did not authorise; (c) a fault on the Company's side, such as failure to create a Simulated Account or a Platform outage covering a large part of the Competition Window, stops the Participant taking part, in which case the Participant may choose a full refund or a free entry into a later Competition at the same price; or (d) the Participant was not eligible and the Company did not detect this at entry, unless the Participant gave false information.
22.4 Cancellation After Start. Where the Company cancels a Competition after it has started, including because of a Force Majeure Event or a material Platform or market data failure, every Participant in that Competition receives a full refund under Section 22.3(a).
22.5 No Refund. No refund is due where a Participant finishes outside the prize places, stops trading or does not trade, has their entry paused or ended under a loss limit on the Rule Card, loses score points for a rule breach, changes their mind after the Competition Window starts, or is disqualified for breach of these Terms or the Competition Rules.
22.6 Chargebacks. Users should contact the Company before disputing a charge with their bank or card issuer. Where a dispute is opened, the Company will share the transaction record with its payment processor and may pause the Account while the dispute is open. If a User receives both a refund from the Company and a chargeback for the same payment, the Company will recover the duplicate amount. A chargeback filed in bad faith for a valid Entry Fee is Prohibited Conduct under Section 26.
22.7 Requests and Processing. Refund requests must be sent to [email protected] within fourteen (14) days of the charge. The Company replies within two (2) Business Days and starts approved refunds within three (3) Business Days of approval, to the original payment method (or to the User's Circuit wallet where the Entry Fee was paid from it), in the currency paid. The Company is not liable for processing time at the User's bank or card issuer.
23. ACCOUNT SUSPENSIONS
23.1 The Company may suspend an Account at any time, with or without prior notice, where it has reasonable grounds to believe that:
- (a) the User has engaged in or is suspected of engaging in Prohibited Conduct;
- (b) the User's KYC information is inaccurate, incomplete, or fraudulent;
- (c) the Account is the subject of a suspicious activity investigation;
- (d) the User is subject to a sanctions screening match;
- (e) the User has an open chargeback or payment dispute;
- (f) the User has breached these Terms in any material respect; or
- (g) suspension is required by Applicable Law or by direction of a competent authority.
23.2 During an Account suspension, the User will not be permitted to access their Account, register for Competitions, or receive Prize distributions. Entry Fees paid prior to suspension that relate to Competitions not yet commenced will be held pending the outcome of the suspension review.
23.3 The Company will notify the User of a suspension by email to their registered address as soon as practicable following the decision to suspend, unless notification is prohibited by Applicable Law.
23.4 A suspended User may submit a written appeal to the Company within fourteen (14) days of receiving notice of suspension. The Company will respond to appeals within twenty (20) Business Days. If the Company is satisfied following review that the grounds for suspension do not subsist, it will reinstate the Account without penalty.
24. ACCOUNT TERMINATION
24.1 Termination by the Company. The Company may terminate an Account with immediate effect and without liability where: (a) the User has engaged in Prohibited Conduct; (b) a suspension review confirms that grounds for termination exist; (c) the User has provided false or fraudulent information; (d) continued maintenance of the Account poses a material compliance, legal, or reputational risk to the Company; or (e) the Company is required to terminate the Account by Applicable Law or direction of a competent authority.
24.2 Termination by the User. A User may terminate their Account at any time by submitting a written request to the Company. Account termination by the User does not entitle them to a refund of Entry Fees paid for Competitions already commenced. The Company will process any outstanding verified Prize entitlements prior to Account closure.
24.3 Effect of Termination. Upon Account termination: (a) the User's right to access the Platform ceases immediately; (b) any pending competition registrations are cancelled; and (c) any Entry Fees paid for cancelled registrations are refunded in accordance with Section 22, unless the termination arises from Prohibited Conduct, in which case Entry Fees are forfeited.
24.4 Data Retention. The Company retains User data following Account termination for the periods required by Applicable Law and its internal data retention policies, as described in the Privacy Policy.
24.5 Survival. The following provisions survive Account termination: Sections 8, 9, 10, 13, 15.4, 22, 27, 33, 34, 35, 38, 39, and any other provision that by its nature is intended to survive.
25. FRAUD PREVENTION
25.1 The Company maintains a fraud prevention programme that includes automated and manual monitoring of Account activity, competition participation patterns, and payment transactions.
25.2 The Company employs device fingerprinting, IP analysis, behavioural analytics, and trading pattern analysis to identify potentially fraudulent or collusive behaviour within Competitions.
25.3 All top-ranked Participants are subject to a mandatory post-Competition integrity review prior to Prize distribution. The Company reserves the right to conduct deeper forensic analysis of any Account where fraud is suspected.
25.4 Where fraud is confirmed, the Company will: (a) immediately terminate the relevant Account(s); (b) forfeit all Entry Fees and Prizes associated with the fraudulent activity; (c) file a report with relevant authorities where required by Applicable Law; and (d) pursue civil and criminal remedies available under Applicable Law.
25.5 Identity Fraud. Any User who registers an Account using another person's identity, or who provides false identification documents, commits identity fraud. The Company will report confirmed identity fraud to relevant law enforcement and regulatory authorities and will seek recovery of all costs incurred in connection with the fraud.
25.6 Payment Fraud. Any User who uses stolen, fraudulently obtained, or unauthorised payment methods to pay Entry Fees commits payment fraud. Confirmed payment fraud results in immediate permanent Account termination, forfeiture of all associated competition results, and referral to law enforcement.
26. PROHIBITED CONDUCT
26.1 The following conduct is expressly prohibited and constitutes grounds for immediate Account suspension or termination, forfeiture of all Entry Fees and Prizes, and, where appropriate, referral to relevant authorities:
Competition Integrity Violations
- (a) Collusion. Any arrangement, agreement, or communication between two or more Participants designed to influence competition rankings or Prize outcomes, including deliberately altering trading performance to benefit another Participant.
- (b) Coordinated trading. Trading in a coordinated manner across multiple Simulated Accounts with the intention of influencing market data feeds or leaderboard outcomes.
- (c) Market manipulation. Any action designed to artificially influence the price data displayed in Simulated Accounts or to exploit data feed anomalies or latency.
- (d) Automated trading systems. The use of algorithmic trading bots, automated execution scripts, artificial intelligence-driven execution systems, or any automated tool to execute trades within a Simulated Account, unless expressly permitted by the Competition Rules for a specific Competition format.
- (e) API exploitation. Accessing or manipulating the Platform's APIs, backend systems, or data feeds in any manner not authorised by the Company.
- (f) Strategy gaming. Reverse engineering the Ranking Criteria algorithm or exploiting structural features of the scoring model to generate rankings that do not reflect genuine trading skill.
Account Violations
- (a) Multi-Accounting. Creating, maintaining, or operating more than one Account, whether directly or through a third party.
- (b) Account sharing. Permitting any third party to access or operate a Participant's Account or Simulated Account during a Competition.
- (c) Identity fraud. Registering an Account using false, stolen, or fabricated identity information.
Geographic and Access Violations
- (a) VPN and proxy circumvention. Accessing the Platform from a Restricted Jurisdiction using a VPN, proxy server, Tor network, or any other technology designed to obscure true geographic location.
- (b) Sanctions evasion. Accessing or using the Platform in contravention of applicable international sanctions.
Payment Violations
- (a) Fraudulent payment. Using stolen, unauthorised, or fraudulently obtained payment methods.
- (b) Chargeback abuse. Filing chargebacks or payment disputes in bad faith in connection with Entry Fees.
Platform Integrity Violations
- (a) Hacking and reverse engineering. Attempting to access, probe, or exploit the Platform's systems, infrastructure, or source code without authorisation.
- (b) Data scraping. Collecting or harvesting data from the Platform by automated means without the Company's prior written consent.
- (c) Malware. Introducing malware, viruses, or any other harmful code into the Platform.
- (d) Denial of service. Undertaking any action that disrupts or degrades Platform availability.
26.7 The Company's determination that a User has engaged in Prohibited Conduct is final, subject to the dispute resolution provisions in Section 39.
27. INTELLECTUAL PROPERTY
27.1 All Intellectual Property Rights in the Platform, including the brand name "The Circuit", the Platform's software, user interface design, competition architecture, scoring methodology, market data integration systems, and all other technology and content developed by or for the Company, are and remain the exclusive property of the Company.
27.2 Users are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for the purpose of participating in Competitions in accordance with these Terms. No other licence, right, or interest in the Company's Intellectual Property Rights is granted.
27.3 Users may not: (a) copy, reproduce, modify, or create derivative works from the Platform or its content; (b) reverse engineer, disassemble, or decompile any component of the Platform; (c) remove or alter any proprietary notices or labels on the Platform; or (d) use the Company's brand names, trade marks, or logos without the Company's prior written consent.
27.4 The Company may use data and statistics generated through Platform activity in anonymised, aggregated form for business, research, and marketing purposes, without obligation to Users.
28. USER CONTENT
28.1 Where the Platform enables Users to submit User Content (including comments, profile information, or community contributions), Users retain ownership of their User Content but grant the Company a worldwide, royalty-free, perpetual licence to use, reproduce, modify, distribute, and display such User Content for the purposes of operating and promoting the Platform.
28.2 Users warrant that User Content submitted by them: (a) is owned by them or they have all rights necessary to grant the licence in Section 28.1; (b) does not infringe any third party's Intellectual Property Rights; (c) is not defamatory, obscene, offensive, or unlawful; and (d) does not contain malware or malicious code.
28.3 The Company reserves the right to remove any User Content that, in its reasonable judgment, breaches these Terms, is offensive, or is otherwise inappropriate.
29. PLATFORM AVAILABILITY
29.1 The Company endeavours to maintain the Platform available on a 24/7 basis but does not guarantee uninterrupted availability. Planned maintenance windows will be communicated to Users with reasonable notice where practicable.
29.2 The Company is not liable for any loss, inconvenience, or disadvantage arising from Platform downtime, except where caused by the Company's gross negligence or wilful misconduct and subject to the limitation of liability provisions in Section 34.
29.3 Users are responsible for ensuring that they have compatible devices, browsers, and network connectivity to access the Platform. The Company does not guarantee compatibility with all devices or operating systems.
30. THIRD-PARTY SERVICES
30.1 The Platform integrates third-party services including, without limitation, payment processors, KYC verification providers, market data providers, and cloud infrastructure services ("Third-Party Services"). These Third-Party Services are provided by independent third parties over which the Company has no direct control.
30.2 The Company is not liable for any failure, interruption, inaccuracy, or other deficiency in Third-Party Services, except to the extent that the Company has failed to exercise reasonable care in the selection or oversight of such providers.
30.3 Users acknowledge that Third-Party Services are subject to their own terms of service and privacy policies. Market data feeds integrated into Simulated Accounts are provided for competition purposes and are subject to the data providers' terms of use.
30.4 The Company may change its Third-Party Service providers at any time without notice, provided that this does not materially diminish the functionality available to Users during an active Competition Window.
31. PRIVACY
31.1 The Company's collection, use, storage, and disclosure of personal data is governed by the Privacy Policy, available at tradethecircuit.com/privacy, which is incorporated into these Terms by reference.
31.2 By creating an Account, Users consent to the processing of their personal data as described in the Privacy Policy. Users may exercise the data protection rights available under the laws listed in Schedule B, and any other law that applies to them, as described in the Privacy Policy.
31.3 Users consent to the transmission of their personal data to third-party KYC providers, payment processors, and regulatory authorities as necessary for the Company to fulfil its legal obligations.
32. SECURITY
32.1 The Company implements commercially reasonable technical and organisational security measures to protect the Platform and User data against unauthorised access, loss, and misuse.
32.2 Users are responsible for maintaining the security of their Account credentials and must promptly notify the Company of any suspected unauthorised access to their Account.
32.3 The Company reserves the right to temporarily suspend access to the Platform where it identifies or reasonably suspects a security breach.
33. DISCLAIMERS
33.1 THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY DISCLAIMS ALL WARRANTIES INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, UNINTERRUPTED ACCESS, AND ACCURACY OF INFORMATION.
33.2 The Company does not warrant that the Platform will be free from errors, interruptions, or security vulnerabilities. The Company does not warrant that results obtained through the Platform will be accurate, reliable, or appropriate for any purpose outside of competition ranking.
33.3 Market data, pricing information, and analytics provided within Simulated Accounts are provided for competition purposes only and do not constitute financial advice, investment recommendations, or market analysis. The Company expressly disclaims responsibility for any decision made by a User based on information obtained through the Platform.
33.4 Nothing in this Section 33 limits the Company's liability for: (a) death or personal injury caused by its negligence; (b) fraud or fraudulent misrepresentation; or (c) any other matter for which liability cannot lawfully be excluded.
34. LIMITATION OF LIABILITY
34.1 TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY'S AGGREGATE LIABILITY TO A USER FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USER'S USE OF THE PLATFORM (WHETHER IN CONTRACT, TORT, NEGLIGENCE, BREACH OF STATUTORY DUTY, OR OTHERWISE) IS LIMITED TO THE TOTAL ENTRY FEES PAID BY THAT USER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
34.2 TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY SHALL NOT BE LIABLE FOR:
- (a) loss of profits, loss of revenue, or loss of anticipated savings;
- (b) loss of business or business opportunity;
- (c) loss of data or corruption of data;
- (d) damage to reputation or goodwill;
- (e) any indirect, consequential, special, exemplary, or punitive loss or damage; or
- (f) any loss arising from reliance on market data, competition results, or other information provided through the Platform.
34.3 The limitations in this Section 34 apply whether or not the Company was advised of the possibility of such loss or damage.
34.4 Nothing in this Section 34 limits the Company's liability for death or personal injury caused by its negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited.
34.5 Some jurisdictions do not permit the exclusion or limitation of implied warranties or incidental or consequential damages. To the extent that these limitations are not permitted by the laws of a User's jurisdiction, those limitations do not apply to that User to the extent of the prohibition only.
35. INDEMNITY
35.1 The User agrees to indemnify, defend, and hold harmless the Company and its directors, officers, employees, contractors, agents, successors, and assigns from and against all claims, proceedings, losses, damages, costs, and expenses (including reasonable legal fees) arising from or relating to:
- (a) the User's use of the Platform;
- (b) the User's breach of these Terms, the Competition Rules, or any Applicable Law;
- (c) any Prohibited Conduct by the User;
- (d) any User Content submitted by the User;
- (e) any claim by a third party arising from the User's activity on the Platform; or
- (f) the User's violation of any third party's rights.
35.2 The Company reserves the right, at its own cost, to assume exclusive control of any matter subject to indemnification by the User. The User agrees to cooperate with the Company's defence of such claims.
36. FORCE MAJEURE
36.1 The Company shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay is caused by a Force Majeure Event.
36.2 For the purposes of these Terms, a Force Majeure Event means any event or circumstance beyond the Company's reasonable control, including:
- (a) acts of God, natural disasters, fire, flood, storm, or earthquake;
- (b) acts of war, hostilities, terrorism, riot, or civil disturbance;
- (c) pandemic, epidemic, or public health emergency;
- (d) government action, legislative change, regulatory direction, or court order;
- (e) labour disputes, strikes, or industrial action affecting the Company's operations;
- (f) failure of the internet, telecommunications networks, or third-party infrastructure upon which the Platform depends; or
- (g) failure of a third-party market data provider or financial infrastructure provider.
36.3 Where a Force Majeure Event prevents the Company from completing a Competition, the Company will notify affected Participants as soon as practicable and will handle refunds and cancellations in accordance with Section 22.
36.4 If a Force Majeure Event continues for more than thirty (30) days, either party may terminate any affected Competition by notice. The Company will process refunds in accordance with Section 22.
37. AMENDMENTS
37.1 The Company reserves the right to amend these Terms at any time. Material amendments will be communicated to registered Users by email to their registered address or by prominent notice on the Platform not less than fourteen (14) days before the amendment takes effect.
37.2 A User who does not accept an amendment may terminate their Account in accordance with Section 24.2 prior to the amendment's effective date. Continued use of the Platform following the effective date of an amendment constitutes acceptance of the amended Terms.
37.3 Amendments do not apply retrospectively to Entry Fees already paid or to Competitions in progress at the time the amendment takes effect. The version of these Terms in force at the time of Competition registration governs the User's rights and obligations in respect of that Competition.
37.4 The Company may make minor, non-material amendments (including corrections, clarifications, and formatting changes) at any time without notice, provided such amendments do not adversely affect Users' material rights.
38. GOVERNING LAW
38.1 Each User contracts with one Contracting Entity only. The law and courts that govern these Terms for that User are those listed for the Contracting Entity in Part 2 of Schedule B, without regard to conflict of laws principles. Subject to Section 39, the parties submit to the non-exclusive jurisdiction of those courts.
38.2 Users resident in Nigeria contract with The Circuit Ltd. Users resident in Canada, and in any other Authorised Jurisdiction unless Schedule B states otherwise, contract with The Circuit Tech Ltd.
38.3 Residence is determined by the User's KYC documentation and payment details. The Company confirms the Contracting Entity in the Account confirmation email.
38.4 Each entity is responsible only for the contracts it enters into. The entity that is not a User's Contracting Entity is not a party to that User's contract.
38.5 The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
38.6 Nothing in this Section 38 removes the protection of mandatory consumer protection laws of the place where the User lives, as noted in Schedule B.
39. DISPUTE RESOLUTION
39.1 Internal Complaints Process. A User who has a dispute relating to the Platform, a Competition, a Prize, or the application of these Terms must first submit a written complaint to the Company at [email protected]. The Company will acknowledge receipt within two (2) Business Days and will respond substantively within twenty (20) Business Days of receipt of the complaint.
39.2 Escalation. Where a complaint is not resolved to the User's satisfaction following the internal process in Section 39.1, the User may refer the matter to mediation through the body listed in Part 2 of Schedule B for their Contracting Entity.
39.3 Arbitration. Where mediation fails to resolve the dispute within sixty (60) days of commencement, the dispute will be referred to and finally resolved by binding arbitration before one (1) arbitrator, conducted in English, under the law or rules and at the seat listed in Part 2 of Schedule B for the Contracting Entity. If the parties cannot agree on an arbitrator within fifteen (15) days, the arbitrator is appointed by the body listed in Schedule B.
39.4 Consumer Rights. Nothing in these Terms prevents a User from exercising any statutory consumer rights available to them under Applicable Law that cannot lawfully be excluded by contract. Where the consumer protection law of a User's place of residence does not allow a pre-dispute agreement to arbitrate, or a class action waiver, to bind a consumer, Sections 39.3 and 39.5 do not apply to that User to that extent, and the User may bring a claim in the courts listed in Schedule B.
39.5 Class Action Waiver. To the fullest extent permitted by Applicable Law, Users waive the right to participate in a class action, class-wide arbitration, or any other representative proceeding in connection with these Terms or the Platform.
39.6 Injunctive Relief. Nothing in this Section 39 prevents either party from seeking urgent injunctive or interim relief from a court of competent jurisdiction where necessary to prevent irreparable harm.
40. NOTICES
40.1 Notices from the Company to Users will be given by email to the registered email address or by prominent notice on the Platform. Notices by email are deemed received twenty-four (24) hours after sending, provided no delivery failure notification has been received.
40.2 Notices from Users to the Company must be sent in writing to the addresses specified in Section 41 and are deemed received upon the Company's written acknowledgement.
40.3 The Company is not liable for a User's failure to receive notices sent to the email address registered on the Account. Users are responsible for keeping their registered email address current and functional.
